The Department consulted in February 2007 on its proposed approach in areas where secondary legislation would be made as part of our implementation of the Companies Act 2006. The draft regulations and orders in the tables below have been prepared in the light of responses to that and subsequent consultations.

The table below includes links to draft Impact Assessments. (We have not drafted Impact Assessments where the instrument would have no impact, or only a negligible impact, on costs or savings for business, charities or voluntary bodies).

Draft SIs

The table provides drafts of:

• The Overseas Companies (Company Contracts and Registration of Charges) Regulations 2009, as published for comment in April 2009;
• The Companies (Unregistered Companies) Regulations and The Non-Companies Acts Companies Authorised to Register Regulations, which were first published in summer 2007.

Please Note:

1. We asked for views by 5 May on the regulations relating to registration of charges in the draft Overseas Companies (Company Contracts and Registration of Charges) Regulations 2009. The Government’s response is below. Revised draft Regulations and draft Impact Assessment are not yet ready for publication.

2. The Companies (Unregistered Companies) Regulations and The Non-Companies Acts Companies Authorised to Register Regulations will both be commenced on 1 October 2009 – please disregard the commencement dates given in the draft regulations themselves as these were drafted before the decision was taken to delay final implementation of the Act.

The Companies (Unregistered Companies) Regulations	Regulations July 07 * These Regulations apply specified provisions of the Companies Act 2006, that have not been repealed by the Act, to unregistered companies and apply subordinate legislation made under those specified provisions, where that legislation is in force, or will be, on 1 October 2008. They also revoke specified existing regulations which apply provisions of the 1985 Act and the Act to unregistered companies.
The Non-Companies Acts Companies Authorised to Register Regulations	Regulations July 07 * These Regulations make provision in connection with the registration of a company not formed under the Companies Act and the consequences of such registration.
